Please read the following terms and conditions carefully before using Shield TX. By accessing or using Shield TX, you agree to be bound by these Terms.

About these Terms

These Terms and Conditions (the "Terms") constitute a legally binding agreement between you ("you") and Avail Holding Ltd. ("Avail", "we", "us") and govern your access to and use of Shield TX (the "Platform"). These Terms apply specifically to the private beta version of the Platform and supplement any other terms made available by Avail from time to time.

About Shield TX

Shield TX is a blockchain-based user-interface and middleware solution enabling users to interact with third-party trading protocols, including Hyperliquid, through privacy-enhancing transaction structures. The Platform facilitates the routing of user-initiated transactions through dynamically generated wallets and internal accounting mechanisms (including "Shielded Notes") designed to reduce on-chain traceability of trading activity. Shield TX is intended to operate as a technical facilitator and to minimise custodial control over user assets to the extent supported by the Platform's architecture. Certain operational components, including server-managed wallets and off-chain accounting, are necessary to support the Platform's privacy and execution design.

Private Beta Status

Shield TX is made available on a limited basis to selected users prior to broader public release. The Platform is provided on an "as-is" and "as available" basis and may be modified, restricted or discontinued at any time without notice. You acknowledge that the Platform is experimental and may contain bugs, errors, or security vulnerabilities, and you agree to participate at your own risk.

Use of Platform

Your use of Shield TX involves connecting a compatible wallet and initiating transactions through the platform interface. Transactions are executed via third-party protocols and may be routed through newly generated wallets associated with your activity. Upon completion of a transaction, any resulting proceeds are reflected in your shielded balance within the Platform, any withdrawals to an external on-chain address requires a separate user-initiated action through the Platform. You remain solely responsible for all actions taken through your wallet and for safeguarding your credentials and private keys.

Third-Party Services

Shield TX operates solely as a user interface and technical middleware through which users may access and interact with third-party protocols, including Hyperliquid, which provides the underlying trading infrastructure and execution environment of transactions initiated through the Platform. Avail does not own, control, operate, or guarantee the performance, security, availability, or execution of such third-party services and is not a party to any transactions processed through them.

By accessing or using the Platform, you acknowledge and agree that your use of any such third-party services, including Hyperliquid, remains subject to their respective terms, conditions, and policies, which are available at app.hyperliquid.xyz/terms and are hereby incorporated by reference into these Terms to the extent applicable. You further acknowledge that all trading, execution, settlement, and protocol-level risks arising from such third-party services are assumed by you and remain subject to the applicable terms of the relevant third-party provider.

No Financial or Advisory Services

Avail does not provide financial, investment, brokerage, or advisory services. The Platform does not execute trades on your behalf and does not provide recommendations or solicitations. All decisions to transact are made solely by you.

Privacy and Transaction Structure

The Platform uses dynamically generated wallets and internal transaction representation to enhance user privacy. Avail may maintain internal mappings between generated wallets and user wallets solely for operational, security, and compliance purposes, and may disclose such information only where required by law or regulation.

User Obligations and Compliance

You agree to access and use the Platform only if you are legally capable and in compliance with applicable laws and regulations in your jurisdiction. You shall use the Platform only for lawful purposes and are solely responsible for ensuring that your use is permitted in your jurisdiction and for independently assessing all risks associated with blockchain-based transactions. Avail reserves the right to restrict or suspend access where it reasonably considers that your use may give rise to legal or regulatory risk.

Risk Disclosure

Your use of Shield TX involves significant risks, including but not limited to loss of digital assets, smart contract vulnerabilities, market volatility, and regulatory uncertainty. You acknowledge that participation in the private beta is entirely at your own risk and that Avail bears no responsibility for any losses incurred. You further acknowledge that trading, execution, settlement, liquidity, and protocol-level risks arising from third-party trading infrastructure, including Hyperliquid, remain outside Avail's control.

Disclaimer and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". AVAIL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AVAIL SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY FAILURES IN RELATION TO THIRD-PARTY SERVICES.

WITHOUT LIMITING THE FOREGOING, AVAIL DOES NOT WARRANT THAT THE PLATFORM, ANY TRANSACTIONS, OR ANY THIRD-PARTY SERVICES (INCLUDING, WITHOUT LIMITATION, HYPERLIQUID OR ANY UNDERLYING PROTOCOLS) WILL BE CONTINUOUS, UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DEFECTS, VULNERABILITIES, OR MALICIOUS CODE.

Termination and Suspension

Avail reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, including where required for legal, regulatory, or operational reasons. Suspension or termination of access to the Platform shall not affect your ownership or custody of any funds held through the connected wallet, and, where applicable, users will continue to have the ability to withdraw such funds in accordance with the operational design of the Platform.

Governing Law and Jurisdiction

These Terms and all rights and obligations hereunder will be governed by the laws of England and Wales (as interpreted in Dubai International Financial Centre (DIFC)), without regard to the conflicts of law provisions of such jurisdiction. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded. The courts of DIFC shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination.

Miscellaneous

These Terms constitute the entire agreement between you and Avail in relation to the Platform. To the extent applicable, Avail's general terms of service, privacy policy, and any other platform terms made available by Avail (the "Avail Terms") and Hyperliquid (the "Hyperliquid Terms") are incorporated by reference into these Terms, as may be updated from time to time. In the event of any inconsistency between these Terms, the Avail Terms and Hyperliquid Terms, these Terms shall prevail with respect to the Platform.

We reserve the right to amend or update these Terms at any time at our sole discretion. Where material changes are made, we may provide notice by making the updated Terms available through the Platform or by other appropriate means. Your continued access to or use of the Platform following any such update constitutes your acceptance of the revised Terms.
